By using Sociail, you agree to these terms.
TL;DRUsing Sociail means you accept these terms. If you do not accept them, do not use the service.
By accessing or using Sociail's services, including sociail.com, chat.sociail.com, Browser Control, public portals, and related services (collectively, the "Service"), you agree to these Terms of Use.
If you use the Service on behalf of an organization, you represent that you have authority to accept these terms on that organization's behalf. In that case, "you" refers to that organization.
If you have a separate written agreement with Sociail, that agreement controls where it conflicts with these terms.
What Sociail provides.
TL;DRSociail is a shared AI workspace for people and AI teammates. Features may change while we are in Early Access.
Sociail provides a shared AI workspace where people and AI teammates can collaborate in shared rooms, with attribution, approvals, receipts, room context, and durable outputs. The Service may include web access, Browser Control, APIs, support services, documentation, public website experiences, and related tools.
The Service is currently offered through request-led Early Access. Features, pricing, capacity, integrations, and behavior may change as we learn from Early Access users and teams. We will provide reasonable notice of material changes that affect your use.
Your account.
TL;DRYou are responsible for what happens in your account. Keep credentials safe and tell us if something is wrong.
You must be at least 18 years old to use the Service. You agree to provide accurate, current, and complete account information and to keep it updated.
You are responsible for safeguarding credentials and for activity under your account. You may not make access credentials available to people outside your organization unless Sociail has approved that access path. Notify us promptly about unauthorized use, vulnerabilities, or other security concerns.
What you can't do with Sociail.
TL;DRDo not break the law, do not break the service, and do not use Sociail to harm people.
You agree not to use the Service to:
- Violate any law, regulation, or third-party right.
- Send spam, malware, or other harmful content.
- Attempt to gain unauthorized access to any part of the Service, another account, or another workspace.
- Interfere with or disrupt service integrity, security, or performance.
- Reverse engineer, decompile, translate, scrape, or systematically extract content except where expressly permitted by law or by Sociail.
- Resell, sublicense, or provide hosted access to the Service without written approval.
- Use the Service to develop a directly competing product.
- Represent AI-generated output as human-generated when that representation would be misleading.
- Generate or distribute content that exploits children, incites violence, or otherwise violates applicable usage policies.
We may take action we believe is necessary to address violations, including restricting, suspending, or terminating access.
You own what you create.
TL;DRYour content is yours. You give Sociail the limited permissions needed to operate the Service for you.
You may provide input to the Service and receive output generated by the Service. Input, workspace messages, files, artifacts, and AI output are collectively "Content." As between you and Sociail, you retain ownership of the Content you provide and the output generated for you, subject to applicable law and third-party rights.
You grant Sociail a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, process, and use Content as needed to provide, maintain, secure, and improve the Service for you and the people you invite into your workspace.
You represent that you have the rights needed to provide Content to the Service and that your Content does not violate these terms or anyone else's rights.
What you get from AI teammates.
TL;DRAI output can be useful and still be wrong. Do not rely on it for critical decisions without human review.
Sociail uses third-party AI models and related systems to generate responses, drafts, summaries, plans, artifacts, and other output ("AI Output"). Subject to your compliance with these terms, you may use AI Output for your purposes.
AI Output may contain inaccuracies, omissions, outdated information, or content that does not fit your circumstances. Do not rely on AI Output as a substitute for professional advice or for decisions with significant legal, financial, medical, safety, or employment consequences without independent human review.
Because AI systems may generate similar output for different users, Sociail cannot guarantee that AI Output will be unique.

Ending your use.
TL;DRYou can stop using Sociail at any time. We can suspend or terminate access when needed.
You may stop using the Service at any time. We may suspend or terminate your access if you breach these terms, if your use creates a security or operational risk, if continued access would violate law, or for another reason permitted by a written agreement.
Upon termination, your right to use the Service ends. We will delete or anonymize Content as described in our Privacy Policy, except where retention is required or permitted by law, security, backup, billing, audit, or dispute-resolution needs.
Service is provided "as is."
TL;DRWe work hard on Sociail, but we do not guarantee the Service will be perfect, available, or error-free.
THE SERVICE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. Limits on what we owe you.
TL;DROur liability is limited, and we are not liable for indirect or consequential damages to the fullest extent permitted by law.
TO THE FULLEST EXTENT PERMITTED BY LAW, SOCIAIL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO THE SERVICE.

Your responsibility for misuse.
TL;DRIf your use of Sociail causes us legal trouble, you are responsible for the resulting claim.
You will defend, indemnify, and hold harmless Sociail, its affiliates, officers, employees, and agents from any third-party claim, loss, liability, damage, cost, or expense, including reasonable attorneys' fees, arising out of or related to your use of the Service, your Content, your violation of these terms, or your violation of any law or third-party right.
You help keep the workspace trustworthy.
TL;DRProtect credentials, respect confidential information, and comply with data-protection obligations that apply to your use.
You agree to use reasonable security measures when accessing the Service, including maintaining credential confidentiality and promptly reporting unauthorized access or vulnerabilities.
You agree not to disclose Sociail confidential information received in connection with the Service except as needed for your authorized use, as required by law, or with Sociail's prior written consent.
If you process personal data through the Service, you are responsible for obtaining required consents, providing required notices, and complying with applicable data protection laws.
How disagreements get resolved.
TL;DRThese terms are governed by Delaware law. Claims must be brought individually unless a written agreement says otherwise.
These terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Any dispute arising from these terms or your use of the Service will be resolved in accordance with the dispute-resolution procedures that apply by law or by written agreement.
You and Sociail agree that claims must be brought in an individual capacity and not as a plaintiff or class member in a class, consolidated, or representative proceeding, except where applicable law does not permit that waiver.
When these terms change.
TL;DRWe will update these terms when needed and communicate material changes through reasonable channels.
We may update these terms from time to time. When we do, we will update the effective date at the top of the page. Material changes will be communicated through reasonable means, such as email, in-product notice, or similar channels. Your continued use after changes become effective means you accept the updated terms.
